Corporate Stockholders As Employees
Corporate
stockholders are not excluded from coverage unless a stockholder owns
sufficient stock such that the corporation is essentially the alter
ego of the stockholder. Factors making a corporation appear to be the
alter ego of a majority stockholder include the latter exercising
complete control over the corporation, conducting all hiring and
firing, taking profits as salary and generally managing the business
unfettered by accountability to superiors.
